AGREEMENT OF HOUSE INTERIOR DESIGN
This AGREEMENT OF INTERIOR DESIGN made this date of between A (hereinafter called "the Client" which expression includes their legal representatives, successors in title an assigns) of the one part and B practicing as design consultant at C (hereinafter called “the Designer" which expression includes his/legal representatives, successors in titles and permitted assigns) of the other part.
WHEREAS the Client intends to construct and complete. (hereinafter called the project);AND WHEREAS the Client is desirous of appointing the Designer to provide professional design services for the Project on the terms and conditions hereinafter appearing
IT IS HEREBY AGREED BETWEEN THE PARTIES HERETO AS FOLLOWS:
本設(shè)計(jì)協(xié)議由甲方(客戶)和乙方(設(shè)計(jì)顧問)及丙方(設(shè)計(jì)公司)于 日簽訂。
鑒于客戶意欲建設(shè)并完成本工程;鑒于客戶愿意指定設(shè)計(jì)公司依照以下條款為本工程提供專業(yè)設(shè)計(jì)服務(wù)。
因此，雙方達(dá)成協(xié)議如下：
1.0 SCOPE OF WORK 服務(wù)范圍
1.1 Interior layout and spatial re-planning of all areas.
室內(nèi)布局和所有領(lǐng)域的空間重新規(guī)劃。
1.2 Interior design conceptualization and design implementation.
室內(nèi)設(shè)計(jì)構(gòu)思和設(shè)計(jì)實(shí)施。
1.3 Interior finishes advice, specification and implementation.
室內(nèi)飾面咨詢，規(guī)范和實(shí)施。
1.4 Interior lighting conceptualization, selection and implementation.
室內(nèi)燈具構(gòu)思、選擇和實(shí)施。
1.5 Interior fixtures specification and design for custom made & built in furniture or doors not already in the architectural schedule.
為客戶制作或建造于不包括建筑物內(nèi)已有的家具或門上的室內(nèi)固定物或附著物的規(guī)范和設(shè)計(jì)
1.6 Loose furniture consultation and selection.活動(dòng)家具的咨詢和選擇
1.7 Preparation of all necessary documents for the implementation for the project.
本項(xiàng)目實(shí)施所需全部必要文件的準(zhǔn)備
1.8 Coordination with appointed contractors, suppliers, specialists and other consultants.
與指定承建商、供應(yīng)商、專家和其他顧問的協(xié)商
1.9 Periodical project supervision of items 1.1 to 1.8 during construction.

1.10 Sketches followed by computerized 3D perspectives (in house) of main areas.

2.0 EXCLUSIONS 除外方面
2.1 Areas not included in the Design Consultant’s scope of work are External Building Works, Civil and Structural Engineering, External Landscape, Mechanical and Electrical Engineering, Plumbing & Air Conditioning Engineering, Quantity Surveying & Computer 3D animation.
不包含在設(shè)計(jì)咨詢服務(wù)范圍的領(lǐng)域是室外建造工程，土木及結(jié)構(gòu)工程，外部景觀，機(jī)電工程，水暖和空調(diào)系統(tǒng)工程，工料測(cè)量和電腦三維動(dòng)畫。
2.2 While the scope of works includes supervision and installation, it does not cover the maintenance or defects liability period following the award of the ‘Practical Completion Certificate’ to the contractor if any.

2.3 While the Designer will provide intent drawings of typical finishes and fixtures, all shop drawings for specialists tradesmen and propriety systems or products must be submitted by the respective sub contractors appointed for this project. They may include:

3.0 FEES 費(fèi)用
The fee for the conceptual design phase through project construction phase shall be Charged based on unit rate US Dollar Per Square Foot and designable area of Square Foot. The lump sum of US Dollars: Dollars Only (excluding any local governing withholding taxes). The fee shall be payable by the client as addressed below in the payment schedule.

4.0 TERMS OF PAYMENT 支付條款
4.1 Payments are due and payable upon presentation of the Design Consultant’s invoice upon certifying of fees according to paragraph 3.2. An interest of 1% shall be charged on delinquent payments past 30 days.
根據(jù)設(shè)計(jì)方出示并依據(jù)3.2條要求的費(fèi)用證明資料認(rèn)證的款項(xiàng)是到期可支付的款項(xiàng)。超過三十天的延遲支付款項(xiàng)，設(shè)計(jì)方有權(quán)收取逾期款項(xiàng)1%的利息。
4.2 Payments during construction phase shall be made monthly, in proportion to the length of the construction period as define in the Work Program Chart.
建設(shè)階段應(yīng)按月支付，根據(jù)工作計(jì)劃表規(guī)定的建設(shè)進(jìn)度，按比例支付。
4.3 Payments for additional services and for reimbursable expenses shall be made monthly upon presentation of Design Consultants statement of services rendered, or expenses incurred.
額外服務(wù)和可報(bào)銷費(fèi)用應(yīng)根據(jù)設(shè)計(jì)方出示的關(guān)于相關(guān)服務(wù)或發(fā)生的費(fèi)用的憑據(jù)按月支付。
5.0 DEFINITION OF SERVICES 服務(wù)的定義
5.1 Conceptual Design Phase 概念性設(shè)計(jì)階段
Understanding of client’s need and formulation of concept design for client’s approval. Includes advising of the need for Authority submissions and additional consultants where appropriate. Concept Illustrations will be prepared for the client’s understanding of the design intent. No detailing is done at this stage. Subsequent changes after the approval of concept design are deemed additional services and shall be chargeable according to paragraph 7.0 unless otherwise stated.

5.2 Design Development Phase 深化設(shè)計(jì)階段
Development of the approved concept design for client’s approval. Includes preparation of working drawings for construction, and selection of materials and finishes.
對(duì)經(jīng)客戶批準(zhǔn)的概念性設(shè)計(jì)進(jìn)行深化。包括為建設(shè)施工用的工作圖紙的準(zhǔn)備，材料和飾面的選擇。
Appointed consultants shall be coordinated to produce a complete design.
制定顧問應(yīng)協(xié)調(diào)制作出一個(gè)完整的設(shè)計(jì)。
Necessary detailing will be produced at this stage. 必要的細(xì)節(jié)設(shè)計(jì)將在該階段完成。
Project cost increment can be implemented at this stage if client desire for better quality material/finishes that is not provided for in the original budget or additional services.
該階段客戶可以要求獲得質(zhì)量比最初商談提供或額外服務(wù)中約定的質(zhì)量更好的材料或飾面，相應(yīng)調(diào)增相關(guān)項(xiàng)目費(fèi)用。
Adjusted project fee shall propose by Design Consultant in the ‘Fee Amendment Schedule’ upon client’s request for project fee increment.
調(diào)整的項(xiàng)目費(fèi)用應(yīng)有設(shè)計(jì)咨詢單位在“費(fèi)用變更單”中根據(jù)客戶要求而導(dǎo)致項(xiàng)目費(fèi)用的增量提議。
The ‘Fee Amendment Schedule’ shall supercede paragraph 3.2.Changes requested by the client after the approval of production drawings are deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.
客戶要求的對(duì)施工圖的設(shè)計(jì)變更被批準(zhǔn)后，“費(fèi)用變更單”將取代第3.2條的約定，被視為額外的服務(wù)，應(yīng)根據(jù)第7條收取相應(yīng)款項(xiàng)，除非雙方另有約定。
5.3 Project Documentation Phase 項(xiàng)目文件階段
Preparation of all necessary technical specifications for the project.
準(zhǔn)備該項(xiàng)目所需的所有必要的技術(shù)性規(guī)定。
All necessary design coordination with other consultants shall be completed by this stage.
與其他設(shè)計(jì)單位協(xié)調(diào)所有的設(shè)計(jì)必須在該階段完成。
Relevant authority approval for commencement of work shall be awarded by this stage, when appropriate.
該階段合適時(shí)間應(yīng)獲得相關(guān)部門同意開工的批示。
Client shall be notified upon completion of this stage. 完成該階段時(shí)應(yīng)通知客戶。
Any changes requested by client at this stage shall be deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.
客戶在該階段要求的任何變更應(yīng)被視為額外的服務(wù)，除非雙方另有約定，應(yīng)根據(jù)第7條收取相應(yīng)款項(xiàng)。
5.4 Construction Phase建設(shè)施工階段
Implementation of the approved design. 經(jīng)批準(zhǔn)同意的設(shè)計(jì)的實(shí)施
Design Consultant shall supervise site installation, review all selected materials in the approved documentation delivered to site, for size quality and conditions, and to reject materials that is not according to specification.
設(shè)計(jì)方應(yīng)監(jiān)督現(xiàn)場(chǎng)安裝，檢查所有批準(zhǔn)文件中選定的被運(yùn)至現(xiàn)場(chǎng)的材料，包括規(guī)格、質(zhì)量和品質(zhì)，拒收不符合規(guī)范的材料。
The Design consultant shall provide final inspection and a Practical Completion Certificate shall be awarded upon Consultant’s satisfaction that all works has been completed accordance to approved drawings.
設(shè)計(jì)方應(yīng)提供最終的檢驗(yàn)以及提交表明咨詢方認(rèn)為所有工作根據(jù)批準(zhǔn)圖紙已經(jīng)完成的實(shí)際完成證明。
Changes by client at this stage are considered additional services and shall be chargeable according to paragraph 7.0.
客戶在該階段要求的任何變更應(yīng)被視為額外的服務(wù)，除非雙方另有約定，應(yīng)根據(jù)第7條收取相應(yīng)款項(xiàng)。
In addition, a delay fee shall be charged for additional cost of labour, overheads, warehousing, and material cost in accordance to the schedule in the specifications as the result of delays and cost incurred by such request.
此外，設(shè)計(jì)方有權(quán)收取因延誤施工工期而導(dǎo)致的人工費(fèi)用、間接成本、倉儲(chǔ)和材料費(fèi)用等逾期費(fèi)用，以及因此而導(dǎo)致的的其他損失。
6.0 AMENDMENT OF APPROVED DRAWINGS BY DESIGN CONSULTANT
設(shè)計(jì)終稿的`變更
6.1 The Design Consultant reserved the right to change approved design, detailing, materials, finishes and specification due to unforeseen circumstances that is not within the control of the Design Consultant. Such changes shall be commuted to the client and no additional service charge shall be payable by the client. However additional cost incurred to labour and material shall be reimbursed by the client.
由于不可預(yù)見即設(shè)計(jì)方無法掌控的情況，設(shè)計(jì)方保留對(duì)設(shè)計(jì)終稿的設(shè)計(jì)、細(xì)節(jié)設(shè)計(jì)、材料、完成和規(guī)范的修改權(quán)。此等設(shè)計(jì)修改應(yīng)減輕客戶的義務(wù)，即客戶無需就該等設(shè)計(jì)的修改向設(shè)計(jì)方支付額外的費(fèi)用。但額外的人工費(fèi)和材料費(fèi)應(yīng)由客戶承擔(dān)。
7.0 COMPENSATION FOR ADDITIONAL SERVICES 額外服務(wù)費(fèi)用
7.1 For project representation beyond that is already mentioned, compensation shall be computed as follows: Dollars Per Hour (S$100.00/Hour)
對(duì)于上述提到的額外服務(wù)的補(bǔ)償費(fèi)，應(yīng)按每小時(shí) 元計(jì)算
7.2 This Service shall be approved by client in writing before the Design Consultant provides such services.
設(shè)計(jì)方在提供額外服務(wù)前應(yīng)獲得客戶事先的書面許可。
7.3 In cases which Design Consultant wavered or lowered charges of additional services of a particular request, they are deemed one off provision of the subject matter concern, and do not render this paragraph void for subsequent request arising, even if they are similar requests.
除非設(shè)計(jì)方同意對(duì)某項(xiàng)特定的額外服務(wù)給予優(yōu)惠或降低收費(fèi)，否則他們對(duì)于每一特定主題的收費(fèi)是單獨(dú)收費(fèi)，不會(huì)因?yàn)橹蠖鴣碓O(shè)計(jì)要求是相似的而放棄收取費(fèi)用。
8.0 REIMBURSABLE EXPENSES 可補(bǔ)償費(fèi)用
8.1 Reimbursable Expenses are in addition to compensation for basic and additional services. It shall include cost incurred by the Design Consultant and its employees in the interest of the project, as identified in the following clauses.
可補(bǔ)償費(fèi)用是指除基本和附加服務(wù)外的費(fèi)用。包括設(shè)計(jì)方及其工作人員為了項(xiàng)目利益而發(fā)生的費(fèi)用，具體由以下條款確認(rèn)。
8.2 Expenses for all travel related cost including business class airfares with Singapore Airlines or Equivalent, 5 star hotel accommodation, surface transportation and luggage handling or courier services.
包含新加坡航空商務(wù)艙或其他等價(jià)機(jī)票、五星級(jí)酒店住宿費(fèi)、地面交通費(fèi)、包裹搬運(yùn)費(fèi)或快遞服務(wù)費(fèi)在內(nèi)的相關(guān)差旅費(fèi)。
8.3 Expense for professional and perspective drawings and/or scale models at the request of the client, plus 10% handling charge.
客戶要求的專業(yè)效果圖紙和/或測(cè)繪模型的費(fèi)用以及10%的手續(xù)費(fèi)。
8.4 Expense for courier services, postage and handling of drawings, specification and other documents.
快遞服務(wù)費(fèi)，圖紙、說明書和其他相關(guān)文件的郵費(fèi)及包裝費(fèi)
8.5 Expense for colour prints or colour slides when requested by client.
客戶要求的彩印或者彩色幻燈片費(fèi)用。
8.6 Professional fees and reimbursable expenses of supporting consultants.
輔助顧問的專業(yè)費(fèi)用和可補(bǔ)償費(fèi)用。
8.7 Documentation and lithography cost, and fees payable to authorities where relevant.
文件及印刷費(fèi)用，以及支付給相關(guān)政府部門的費(fèi)用。
8.8 Site Staffs appointed and will act under the direction of the relevant consultants. Client shall reimburse the consultant all expenses incurred by such appointment.
任命工地人員且在相關(guān)顧問的指導(dǎo)下工作�？蛻魬�(yīng)當(dāng)補(bǔ)償該顧問在此任命下發(fā)生的所有花費(fèi)。
9.0 PAYMENT WITHHELD 支付扣留
9.1 No deductions shall be made from Design consultant’s compensation due to penalty, liquidated damages, or due to the cost of changes in the Works other than those, which the Design Consultant has been found liable due to, be liable. The Design Consultant’s work shall be deemed to be complete upon the implementation of the work based on the approved working drawings under the Design Development Phase.
以下費(fèi)用不得被抵扣：(1)設(shè)計(jì)方由于罰金、違約金而獲得的賠償金;(2)除了被確認(rèn)的由于設(shè)計(jì)方的責(zé)任而導(dǎo)致的設(shè)計(jì)變化而產(chǎn)生的費(fèi)用。基于在設(shè)計(jì)開發(fā)階段被批準(zhǔn)的設(shè)計(jì)圖紙開始施工時(shí)設(shè)計(jì)方的工作即被視為已完成。
10.0 DAMAGE OR DESTRUCTION OF WORKS 工程毀損
10.1 If at anytime before the completion of the project, the works, or equipment or any part thereof shall be damaged, or destroyed by operation of war, riot, civil commotion, natural catastrophe, or any other circumstances beyond the control of the Design Consultant, the client may require the Design Consultant to resume work on the project. The Design Consultant may do so upon notification in writing by the client. However, the remedial work and subsequent additional works relating to the project shall be subjected to a mutually agreed fee, before the work is resumed.
在項(xiàng)目竣工前的任何時(shí)間，如若發(fā)生由于戰(zhàn)爭(zhēng)，動(dòng)亂，內(nèi)亂，自然災(zāi)害或者其他任何不在設(shè)計(jì)方控制內(nèi)的事件而導(dǎo)致工程、設(shè)備或者其他設(shè)施毀損滅失的，客戶有權(quán)要求設(shè)計(jì)方重新開始工程的相關(guān)工作。設(shè)計(jì)方應(yīng)當(dāng)在收到客戶的書面通知后開始工作。在工作重新開始前，雙方應(yīng)當(dāng)確認(rèn)好補(bǔ)救工作和隨后的附加工作的具體費(fèi)用。
11.0 CARE AND DILIGENCE 謹(jǐn)慎勤勉義務(wù)
11.1 The Design Consultant shall exercise all skill, care and diligence, and shall discharge his obligations under appointment in accordance to sound professional practice.
設(shè)計(jì)方應(yīng)該運(yùn)用專業(yè)技能勤勉謹(jǐn)慎地履行合同，并且按照約定根據(jù)合理的專業(yè)實(shí)踐履行義務(wù)。
12.0 TERMINATION 合同終止
12.1 The obligation to provide further services under this agreement may be terminated by either party upon 14 days written notice in the event of substantial failure by the other party to perform in accordance to the term through no fault of the terminating party.
如若發(fā)生導(dǎo)致合同實(shí)際履行不能的事件，一方在無過錯(cuò)的前提下提前14日書面通知另一方后合同義務(wù)即告終止。
12.2 The client upon may terminate this agreement not less than 14 days written notice to the Design Consultant in the event that the project is permanently abandoned. If the client abandons the project for 90 consecutive days, the Design consultant may terminate the agreement by written notice.
如若工程被永久廢棄，客戶需提前14日書面通知設(shè)計(jì)方以終止合同。如果客戶持續(xù)90日廢棄該工程，設(shè)計(jì)方可書面通知終止合同。
12.3 The agreement may be terminated if either party commits a breach of agreement and fails to remedy within 14 days after the notification in writing specifying the breach and requiring its remedy.
一方違約后，另一方可以通知對(duì)方采取補(bǔ)救措施。違約方在收到對(duì)方的書面通知后14日內(nèi)未能成功補(bǔ)救的，未違約方可以終止合同。
12.4 This contracts shall terminate with immediate effect if either party commits an act of bankruptcy of commerce proceeding of winding up (other than for reason of amalgamation or reconstruction of the company), or if an administrator, liquidator or receiver is appointed for the whole or part of the business of the party.
一方進(jìn)入破產(chǎn)程序(公司合并或者重組除外)后，或者清算人或破產(chǎn)管理人被指派接管其全部或部分事務(wù)，本合同即告終止。
12.5 In the event of any termination, the Design Consultant shall be paid for all services rendered to the dated of termination, including any reimbursable expenses and termination expenses. The Design Consultant shall submit his account for the balance of payment with 30 days of termination. The client shall pay all outstanding fees within 30 days upon the receipt of the account. A monthly interest of 1% is chargeable if payment due to the Design Consultant is not received after 30 days upon issuance of the final account.
合同終止事由發(fā)生時(shí)，客戶須支付設(shè)計(jì)方包括可補(bǔ)償費(fèi)用以及合同終止費(fèi)用在內(nèi)的合同終止前發(fā)生的所有服務(wù)費(fèi)用。設(shè)計(jì)方須提交合同終止30日前的收支帳戶明細(xì)�？蛻繇氈Ц�30日內(nèi)帳戶中列明的應(yīng)付未付款項(xiàng)。最終賬戶確認(rèn)后30日內(nèi)沒有付清的，設(shè)計(jì)方有權(quán)按每月1%收取利息。
13.0 OPINION OF COST 成本建議
13.1 As the Design Consultant has no control over the cost of labor, materials, equipment or services furnished by others, as well as the contractor’s method of pricing, and/or market conditions. The preliminary estimates of construction cost are made on the basis of experience and qualifications; they represent the best judgement as experience professionals, familiar with the construction industry. However, the Design Consultant does not guarantee that such estimates will not vary from the actual construction cost, and, or fee of services quoted by the relevant party. Services to modify Contract Documents to bring the construction cost within any limitation established by the client may be considered additional services and paid for as such by the client at a mutually agreed fee.
設(shè)計(jì)方不能控制由其他方提供的勞務(wù)、材料、設(shè)備和服務(wù)費(fèi)用，以及施工方的定價(jià)方法和/或市場(chǎng)情況。初步的建設(shè)成本預(yù)估是基于經(jīng)驗(yàn)和資歷的，設(shè)計(jì)方熟悉建筑行業(yè)，代表有經(jīng)驗(yàn)專業(yè)人員作出最好的判斷。但是設(shè)計(jì)方并不確保其所做的預(yù)估一定與由相關(guān)方提供的實(shí)際的建筑成本或者服務(wù)費(fèi)用相一致。在客戶設(shè)立的限制下提供的修改施工成本合同文件服務(wù)將被視為附加服務(wù)，相關(guān)費(fèi)用應(yīng)以雙方一致同意為準(zhǔn)。
14.0 SETTLEMENT OF DISPUTE 糾紛處理
本約定書的所有方面均應(yīng)適用新加坡國的法律進(jìn)行解釋并受其約束。與本約定書有關(guān)的任何糾紛或爭(zhēng)議，雙方均可提交 進(jìn)行仲裁;
All of the agreement shall be interpreted and governed by the laws of Singapore. Any disputes in connection with the agreement shall be settled through friendly negotiation. If negotiation fails, the disputes can be submitted to for arbitration.

一、服務(wù)內(nèi)容
乙方負(fù)責(zé)為甲方提供室內(nèi)裝修設(shè)計(jì)方案，包括但不限于平面布局設(shè)計(jì)、空間規(guī)劃、色彩搭配、選材建議、軟裝設(shè)計(jì)等。
乙方應(yīng)根據(jù)甲方的需求和項(xiàng)目實(shí)際情況，提供不少于 ____ 套設(shè)計(jì)初稿供甲方選擇，并根據(jù)甲方反饋進(jìn)行修改完善，直至甲方滿意為止。
在設(shè)計(jì)方案確定后，乙方應(yīng)提供詳細(xì)的施工圖紙，包括但不限于平面圖、立面圖、剖面圖、節(jié)點(diǎn)詳圖等，確保施工方能夠準(zhǔn)確理解并實(shí)施設(shè)計(jì)方案。
Service Scope
Party B is responsible for providing interior decoration design plans for Party A, including but not limited to floor plan design, space planning, color matching, material selection suggestions, and soft decoration design.
Party B shall provide no less than ____ sets of preliminary design drafts for Party A to choose from according to Party As requirements and the actual situation of the project, and make revisions and improvements based on Party As feedback until Party A is satisfied.
After the design plan is determined, Party B shall provide detailed construction drawings, including but not limited to floor plans, elevation views, sectional views, and detail drawings, to ensure that the construction party can accurately understand and implement the design plan.
二、服務(wù)期限
本協(xié)議服務(wù)期限自 ____起至 ____止。如因甲方原因?qū)е略O(shè)計(jì)工作延誤，服務(wù)期限相應(yīng)順延。
Service Period
The service period of this agreement shall commence from [Start Date] and end on [End Date]. If the design work is delayed due to reasons attributable to Party A, the service period shall be extended accordingly.
三、設(shè)計(jì)費(fèi)用及支付方式
甲方應(yīng)向乙方支付的設(shè)計(jì)費(fèi)用總額為人民幣 ____元整（大寫：____）。
支付方式：
簽訂本協(xié)議后 ____ 個(gè)工作日內(nèi)，甲方向乙方支付設(shè)計(jì)費(fèi)用總額的 ____% 作為預(yù)付款，即人民幣 ____ 元整（大寫：____）。
乙方提交設(shè)計(jì)初稿并經(jīng)甲方書面確認(rèn)后 ____ 個(gè)工作日內(nèi)，甲方向乙方支付設(shè)計(jì)費(fèi)用總額的 ____%，即人民幣_(tái)___ 元整（大寫：____）。
乙方提交最終設(shè)計(jì)方案及施工圖紙并經(jīng)甲方書面確認(rèn)后 ____ 個(gè)工作日內(nèi)，甲方向乙方支付設(shè)計(jì)費(fèi)用總額的剩余款項(xiàng)，即人民幣 ____元整（大寫：____）。
Design Fees and Payment Method

Within ____ working days after signing this agreement, Party A shall pay ____% of the total design fees to Party B as an advance payment, that is, RMB [Advance Payment Amount] yuan (in words: [Advance Payment Amount in Words]).
Within ____ working days after Party B submits the preliminary design draft and Party A gives written confirmation, Party A shall pay ____% of the total design fees to Party B, that is, RMB [Progress Payment Amount 1] yuan (in words: [Progress Payment Amount 1 in Words]).
Within ____ working days after Party B submits the final design plan and construction drawings and Party A gives written confirmation, Party A shall pay the remaining amount of the total design fees to Party B, that is, RMB [Progress Payment Amount 2] yuan (in words: [Progress Payment Amount 2 in Words]).
四、雙方權(quán)利與義務(wù)
�。ㄒ唬┘追綑�(quán)利義務(wù)
甲方有權(quán)對(duì)乙方的設(shè)計(jì)工作提出意見和建議，乙方應(yīng)予以充分考慮并合理采納。
甲方應(yīng)按照本協(xié)議約定及時(shí)向乙方支付設(shè)計(jì)費(fèi)用。
甲方應(yīng)向乙方提供項(xiàng)目相關(guān)的基礎(chǔ)資料，包括但不限于建筑圖紙、現(xiàn)場(chǎng)勘查數(shù)據(jù)等，確保資料的真實(shí)性和完整性。若因甲方提供資料不完整或不準(zhǔn)確導(dǎo)致設(shè)計(jì)延誤或變更，乙方不承擔(dān)責(zé)任。
Rights and Obligations of Party A
Party A has the right to put forward opinions and suggestions on Party Bs design work, and Party B shall give full consideration and reasonably adopt them.
Party A shall pay the design fees to Party B in a timely manner in accordance with the provisions of this agreement.
Party A shall provide Party B with basic materials related to the project, including but not limited to architectural drawings, on - site survey data, etc., to ensure the authenticity and integrity of the materials. If the design is delayed or changed due to incomplete or inaccurate materials provided by Party A, Party B shall not be liable.
�。ǘ┮曳綑�(quán)利義務(wù)
乙方有權(quán)要求甲方提供與設(shè)計(jì)工作相關(guān)的必要資料和信息。
乙方應(yīng)按照國家相關(guān)設(shè)計(jì)規(guī)范和標(biāo)準(zhǔn)，以及甲方的要求進(jìn)行設(shè)計(jì)工作，確保設(shè)計(jì)方案具有可行性、創(chuàng)新性和美觀性。
乙方應(yīng)保守甲方的商業(yè)秘密和項(xiàng)目信息，未經(jīng)甲方書面同意，不得向任何第三方披露。
在設(shè)計(jì)過程中，如因乙方原因?qū)е略O(shè)計(jì)方案出現(xiàn)重大失誤或未能按時(shí)交付，乙方應(yīng)承擔(dān)相應(yīng)的違約責(zé)任。
Rights and Obligations of Party B
Party B has the right to request Party A to provide necessary materials and information related to the design work.
Party B shall carry out the design work in accordance with relevant national design codes and standards, as well as Party As requirements, to ensure that the design plan is feasible, innovative, and aesthetically pleasing.
Party B shall keep Party As business secrets and project information confidential and shall not disclose them to any third party without the written consent of Party A.
During the design process, if Party B causes major mistakes in the design plan or fails to deliver on time due to reasons attributable to Party B, Party B shall bear corresponding liability for breach of contract.
五、知識(shí)產(chǎn)權(quán)
乙方完成的設(shè)計(jì)成果的`知識(shí)產(chǎn)權(quán)歸甲方所有，但乙方享有在其作品集、宣傳資料等中展示該設(shè)計(jì)成果的權(quán)利，但需注明甲方為委托方。
未經(jīng)甲方書面同意，乙方不得將設(shè)計(jì)成果用于其他項(xiàng)目或向第三方轉(zhuǎn)讓。
Intellectual Property Rights
The intellectual property rights of the design results completed by Party B shall belong to Party A, but Party B shall have the right to display the design results in its portfolio, promotional materials, etc., provided that Party A is indicated as the entrusting party.
Without the written consent of Party A, Party B shall not use the design results for other projects or transfer them to third parties.
六、違約責(zé)任
若甲方未按照本協(xié)議約定支付設(shè)計(jì)費(fèi)用，每逾期一日，應(yīng)按照未支付金額的 ____% 向乙方支付違約金。逾期超過 ____ 日的，乙方有權(quán)暫停設(shè)計(jì)工作直至甲方支付費(fèi)用及違約金，且服務(wù)期限相應(yīng)順延。若甲方逾期超過 ____ 日仍未支付，乙方有權(quán)解除本協(xié)議，并要求甲方支付已完成工作對(duì)應(yīng)的設(shè)計(jì)費(fèi)用及違約金。
若乙方未按照本協(xié)議約定的時(shí)間提交設(shè)計(jì)初稿、最終設(shè)計(jì)方案或施工圖紙，每逾期一日，應(yīng)按照設(shè)計(jì)費(fèi)用總額的 ____% 向甲方支付違約金。若因乙方原因?qū)е略O(shè)計(jì)方案出現(xiàn)重大失誤，乙方應(yīng)無償進(jìn)行修改，直至達(dá)到甲方要求。若乙方經(jīng)多次修改仍無法滿足甲方要求，甲方有權(quán)解除本協(xié)議，并要求乙方返還已支付的設(shè)計(jì)費(fèi)用，同時(shí)乙方應(yīng)按照設(shè)計(jì)費(fèi)用總額的 ____% 向甲方支付違約金。
Liability for Breach of Contract
If Party A fails to pay the design fees in accordance with the provisions of this agreement, it shall pay a liquidated damages of ____% of the unpaid amount to Party B for each overdue day. If the overdue period exceeds ____ days, Party B has the right to suspend the design work until Party A pays the fees and liquidated damages, and the service period shall be extended accordingly. If Party A still fails to pay after the overdue period exceeds ____ days, Party B has the right to terminate this agreement and demand that Party A pay the design fees corresponding to the completed work and liquidated damages.
If Party B fails to submit the preliminary design draft, final design plan, or construction drawings within the time specified in this agreement, it shall pay a liquidated damages of ____% of the total design fees to Party A for each overdue day. If major mistakes occur in the design plan due to reasons attributable to Party B, Party B shall make free revisions until the requirements of Party A are met. If Party B still fails to meet Party As requirements after multiple revisions, Party A has the right to terminate this agreement, demand that Party B return the paid design fees, and Party B shall pay a liquidated damages of ____% of the total design fees to Party A.
七、爭(zhēng)議解決
本協(xié)議在履行過程中如發(fā)生爭(zhēng)議，雙方應(yīng)首先友好協(xié)商解決；協(xié)商不成的，任何一方均有權(quán)向有管轄權(quán)的人民法院提起訴訟。
Dispute Resolution
In the event of any disputes arising during the performance of this agreement, the two parties shall first resolve them through friendly consultations. If the consultations fail, either party has the right to file a lawsuit with the peoples court having jurisdiction.
八、其他條款
本協(xié)議自雙方簽字（或蓋章）之日起生效，一式兩份，甲乙雙方各執(zhí)一份，具有同等法律效力。
本協(xié)議未盡事宜，雙方可另行協(xié)商并簽訂補(bǔ)充協(xié)議，補(bǔ)充協(xié)議與本協(xié)議具有同等法律效力。
Other Provisions
This agreement shall come into force on the date of signature (or seal) by both parties. It is made in two copies, with each party holding one copy, and both copies have the same legal effect.
For matters not covered in this agreement, the two parties may negotiate separately and sign a supplementary agreement. The supplementary agreement shall have the same legal effect as this agreement.
