論表見(jiàn)代理

摘       要

表見(jiàn)代理制度的理論基礎(chǔ)主要是保護(hù)善意第3人的合法權(quán)益及維護(hù)交易安全。在大陸法系中表見(jiàn)代理是學(xué)理歸納所得，而普通法系則稱表見(jiàn)代理為不容否認(rèn)的代理。我國(guó)《合同法》第49條的規(guī)定表明我國(guó)在立法上確認(rèn)了表見(jiàn)代理制度，但構(gòu)成要件這1環(huán)節(jié)在表見(jiàn)代理中還存在1些爭(zhēng)議及瑕疵之處。本文即從“確立第3人的審核義務(wù)”、“合理限制相對(duì)人對(duì)義務(wù)人的選擇權(quán)”和“無(wú)代理權(quán)人不得以無(wú)過(guò)錯(cuò)為由提出抗辯”這3項(xiàng)措施來(lái)闡述對(duì)表見(jiàn)代理的完善。

ABSTRACT

    The theoretical foundation of the prospectus is to protect the legal interests of a third party and the safety of the transaction. In the Civil Law system, the prospectus comes from the theoretical summary ; the Common Law system call it undeniable agency. The 49th term in Contract Law of China has affirmed the prospectus, but there are also many disputes and defects in the constitutive elements of prospectus. The thesis will prove how to consummate the prospectus from “establishing a third party,s obligation of examination”,“placing reasonable restriction on a bona fide counterpart,s selection” and “the representative without authority couldn,t claim its demur because of no fault ”.
